Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Daily Website Report website at dailywebsitereport.com and related services (the "Service"), provided by UNI SOFTWARE GROUP LLC ("Daily Website Report", "we", "us", or "our"), a limited liability company registered in Georgia (Identification Number 400476061), with registered address at Erosi Manjgaladze Street N 75a, Nadzaladevi District, Tbilisi, Georgia.

By creating an account or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Daily Website Report provides automated website health monitoring, including checks related to SSL, security headers, SEO, performance signals, and uptime. Features, limits, and availability may change over time. We may add, remove, or modify features at our discretion, and we may impose reasonable usage limits to protect the Service.

2. Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the information you provide, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly of any unauthorised use of your account.

3. Your content and websites

You retain all rights in the domains, URLs, notification recipients, and other information you submit to the Service ("Customer Data"). You grant us a limited, worldwide, non-exclusive licence to host, process, and display Customer Data solely as needed to provide, secure, and improve the Service.

You represent and warrant that you have the right to submit any Customer Data and to authorise Daily Website Report to perform automated scans against the websites you configure. You are responsible for ensuring that your use of the Service complies with all applicable laws and any agreements you have with the operators of those websites.

The Service is offered on both free and paid plans. Paid plans are billed in advance on a recurring basis (for example, monthly or annually) at the price and interval shown at checkout. All fees are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes.

By subscribing to a paid plan, you authorise us and our payment processor to charge the payment method you provide for all fees due, including automatic renewals, until you cancel. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. Refund eligibility is set out in our Refund Policy.

We may change our fees or plans from time to time. Changes will not apply to your current billing period but will apply to renewals, and we will give you reasonable notice before any change takes effect.

6. Trials and free plans

We may offer free plans or trial periods with limited features or usage. Free access may be modified, suspended, or discontinued at any time. If you upgrade to a paid plan, the applicable subscription terms and Refund Policy apply.

7. Third-party services

The Service may rely on or link to third-party services (such as payment processors, hosting providers, and public data sources). We are not responsible for third-party services or their content. Your use of any third-party service is subject to that provider's terms and privacy policy.

Daily Website Report, including all software, designs, text, graphics, and content that we provide (excluding Customer Data), is owned by us or our licensors and is protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose. All rights not expressly granted are reserved.

Feedback you submit about the Service is provided voluntarily and may be used by us without restriction or obligation to you.

9. Service availability

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, error-free, or completely secure. From time to time, the Service may be unavailable due to maintenance, updates, or events beyond our control. We may suspend or restrict access as reasonably necessary to protect the Service.

10. Disclaimers

The Service and all scan results, reports, and information provided through it are made available on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, to the maximum extent permitted by law. We do not warrant that the Service will detect all vulnerabilities, issues, or downtime, or that the results will be complete, accurate, or fit for a particular purpose. You are responsible for how you interpret and act on any output of the Service.

11. Limitation of liability

To the maximum extent permitted by law, in no event will Daily Website Report, its affiliates, or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Service, even if advised of the possibility of such damages.

Our aggregate liability for any claim arising out of or related to the Service will not exceed the greater of (a) the fees you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the liability, or (b) fifty US dollars (USD 50).

You agree to defend, indemnify, and hold harmless Daily Website Report and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your Customer Data, (b) your use of the Service in breach of these Terms, or (c) your violation of applicable law or the rights of a third party.

13. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service (in whole or in part) if we reasonably believe you have breached these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ceases immediately; provisions that by their nature should survive (including Sections on intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14. Changes to the Service and these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by a reasonable means (for example, by email or through the Service) before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which UNI SOFTWARE GROUP LLC is registered, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Terms will be submitted to the exclusive jurisdiction of the competent courts of that jurisdiction, unless a mandatory consumer protection law grants you the right to bring proceedings in another jurisdiction.

16. Miscellaneous

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Daily Website Report regarding the Service. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce a right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
